“Shred thru summer with Blacktide” OFFICIAL RULES & CONSUMER DISCLOSURES

GENERAL. These are the official rules and disclosures (the “Official Rules”) for the “Shred thru summer with Blacktide” (“STSWB”). STSWB is sponsored by Ripe Digital Entertainment, Inc. (“Ripe") and its affiliates including A.D.D. Marketing Inc., Radius 8, Hooves Footwear, Fox Racing Inc., Interscope Records/ Universal Music Group, and Allyance Clothing (collectively, “the Companies”), located at 729 Seward Street, Los Angeles, CA 90038. ELIGIBILITY. NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. YOU MUST HAVE ACCESS TO THE INTERNET TO PARTICIPATE. Open to legal residents of the fifty (50) United States and the District of Columbia (excluding such residents if located in Puerto Rico, overseas military installations, and other U.S. territories), who are 18 years and older. Any individuals (including but not limited to employees, consultants, independent contractors, officers, directors, representatives, agents, and interns) who have, within six months prior to the start date of STSWB, performed services for the Companies or any business entity that is directly or indirectly owned or controlled by the Companies, any known sponsors of the Companies or STSWB or any organizations responsible for supplying the prizes to be awarded in connection with STSWB, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or win. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not.

HOW TO ENTER; HOW TO WIN. STSWB is a sweepstakes in which participants will be chosen at random. STSWB begins at 12:00 p.m. on Saturday, August 2, 2008 and shall end on September 30th, 2008 at 11:59pm. Winners will be chosen October 1, 2008. For purposes of these Official Rules, all times are Pacific Time and Ripe’s computer system is the official clock used for STSWB. To enter, navigate the Internet to www.octanetv.com, and click on the “STSWB” icon that will take you to the “STSWB Contest” home page. Alternatively, to enter, you can navigate the Internet directly to www.octanetv.com/blacktide. If you are already a Ripe registered user, you will be prompted to sign in with your current user name and password and you may be asked for some additional information. If you are not an existing Ripe registered user, you will be able to click a button to be directed to a registration page where you will become a registered user and you will complete information specific for the STSWB sweepstakes. You will be asked to provide your name, mailing address with zip code, e-mail address, phone number, gender, birthday and certain other questions about Ripe and/or its content. You may be asked to consent to receiving a monthly newsletter or other offerings from Ripe and/or its partners. You are not required to give these consents in order to be eligible for STSWB and consent will not improve your chances of winning. Once you have completed your log-in or registration, you will be able to participate in STSWB by entering your e-mail address, first name, last name, and phone number. STSWB is limited to one entry per email address. Multiple entries to STSWB will result in the disqualification of all entries for that user name for STSWB. The Companies are not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed phone or computer hardware or software or telephone transmissions or technical failures, garbled or jumbled transmissions or other errors of any kind, whether human, mechanical or electronic, including without limitation the incorrect or inaccurate capture of participant information online, or for lost, late, incomplete, damaged, destroyed, delayed, stolen, misdirected or illegible entries. All entries become the property of Ripe and will not be acknowledged.

PRIZES; ODDS OF WINNING. One (1) prize, such as a video game, CD, t-shirt or other merchandise (with an approximate retail value of $10-$1,000) will be awarded after each Monthly Drawing. At any time and in its sole discretion, the Companies may substitute a different prize for the prize item publicized or allocated for a specific Monthly Drawing. The Companies will attempt to contact all prize winners by e-mail or phone. The name of all winners will be posted on the Ripe website or any affiliated or sub-website. By entering, each participant grants to the Companies the right to use his or her name, prize information and biographical information (identifying city and state only) without further authorization or compensation, on such websites and in any and all media throughout the world in perpetuity and in advertising, promoting and publicizing of Ripe. Winners shall not have the right to a substitute prize or cash in lieu of a prize awarded. The prize is awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Odds of winning depend on the number of available entries received. STSWB is available to over 100 million Internet users. ALL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. If for any reason STSWB is not capable of running as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of STSWB, the Companies reserve the right, at their sole discretion, to cancel, terminate, modify and/or suspend STSWB and to determine the prize winners from all eligible entries received prior to the action taken, or as otherwise deemed fair and equitable by Ripe; and to disqualify any individuals who tamper with the entry process, violate these Official Rules, or act in a disruptive or abusive manner. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof, including any injury or damage to participant’s or any other person’s computer related to, or resulting from, participation in or downloading any materials from this STSWB contest.

AGREEMENT TO OFFICIAL RULES. By entering the STSWB sweepstakes, each participant agrees to these Official Rules and decisions of Ripe, which are binding and final in all matters relating to STSWB. Winning a prize is contingent on fulfilling all requirements set forth herein. In addition to the Official Rules, the STSWB sweepstakes is subject to Ripe’s Privacy Policy located at www.octanetv.com/privacy and Terms of Use located at www.octanetv.com/terms.

CHANGE OF EMAIL OR ADDRESS POLICY. It is the sole responsibility of each participant to notify Ripe in writing if his or her e-mail, phone number or mailing address changes. Continued eligibility will depend on Ripe having each participant’s correct contact information.

DISPUTE RESOLUTION/CHOICE OF LAW. Except where prohibited, by participating in STSWB, each participant agrees that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and the Companies shall be governed by and construed exclusively in accordance with the laws of the State of California, U.S.A., without giving effect to any principles of conflicts of law of any jurisdiction. Participants agree that any action arising out of or relating to STSWB shall be filed only in the state or federal courts located in the County of Los Angeles in the State of California and participant hereby consents and submits to the personal jurisdiction of such courts for purposes of litigating any such action. Except where prohibited, by participating in STSWB, each participant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with STSWB shall be resolved individually, without resort to any form of class action; and (b) participant’s remedies shall be limited to actual out-of-pocket costs incurred directly in connection with participating in STSWB; and (c) participant waives all other remedies, including without limitation attorneys’ fees, punitive, incidental or consequential damages or any other damages, or injunctive or other equitable relief. By entering STSWB, participant agrees to release, discharge and hold harmless the Companies and each of their officers, directors, employees, agents and representatives from any and all claims and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to death or personal injury, arising out of an participant’s participation in STSWB and/or acceptance or use or misuse of any prize. All federal, state and local laws and regulations apply. The Companies, on behalf of themselves and any company providing any of the prizes, expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the deliver or subsequent use of any prize awarded. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained herein.
